Extensive Restructuring
Overview: we helped a Singapore-based private limited company focused on educational management and operation in Indonesia restructure 15 entities within their organisational structure.
Services provided: completed extensive due diligence to realign shareholding structure in terms of commercial transactions and cooperation between entities. Facilitated change in directorship/commissioners to ensure good governance.
Major Merger
Description: a leading Indonesian beverage company with 11 subsidiaries needed our help in consolidating all its subsidiaries into one distribution company.
Services provided: spearheaded all processes as required by Company Law including publicizing the merger in print (newspaper), creation of a merger plan, conducting a general meeting of shareholders and restructuring the entire group of companies to ensure all compliance and smooth operational transition.
Company Acquisition
Description: one of the largest international private school operators that serves nearly 300,000 students in several countries planned to acquire a majority interest in one of the largest networks of school operators in Indonesia. They brought us on to handle all aspects of the acquisition.
Services provided: devised and managed the elaborate process of due diligence and detailed project documentation for the acquired company.

Description: an international educational provider from Singapore that was planning to expand and develop its business in Indonesia needed financing of USD20m, and turned to us for assistance.
Services provided: supported all due diligence and detailed project documentation, resulting in the awarding of the desired funds.
Foreign Investment
Description: a Malaysian company retained our services to help establish their investment in the field of entertainment and advertising in Indonesia.
Services provided: established a foreign investment company on the firm’s behalf, including the creation of the joint venture agreement and initiation of the joint venture company. We ensured all aspects of the business were in compliance with local and national legislation. Today, the company we helped establish is a leading entertainment and advertising firm in Indonesia.
Industrial Relations Dispute
Description: an international business for whom we provide a spectrum of services decided to acquire a company and wished to terminate its employees. We provided industrial relations expertise in managing all aspects of compliance and settlements for what is considered a mass termination under Indonesian labour law.
Services provided: we guided the company to a smooth mutual settlement with the employees and provided key liaison services with both the Ministry of Manpower and the employees’ attorney. The result was amicable, with minimum exposure, as the acquired company was at all times in compliance with Indonesian manpower regulations.
